Constitution

A company, the document setting out a company's internal management and corporate governance rules. A company registered under the Corporations Act 2001 (Cth) (CA 2001) may choose to adopt a constitution or rely on the replaceable rules. A managed investment scheme that is required to be registered under the CA 2001 (a registered scheme), the registered scheme's constituent or governing document. For example, where the scheme is structured as a unit trust, the constitution will be a unit trust deed.
